By-laws
Article 1. General organization
1.1. The Scientific Council, after each partial renewal, shall elect its bureau consisting of the Chairman, 3 Vice-Chairmen and a Secretary. The membership of the bureau’s members may be renewed.
1.2. The Founders College shall elect each year a Chairman and a Secretary whose mission shall be the coordination of the proceedings and the preparation of the meetings.The memberships of the Chairman and of the Secretary may be renewed only twice. The votes shall be made by secret ballot. Should the votes be equally distributed, the Chairman’s vote shall be a casting vote.

The meetings shall take place preferably in Paris, in the Musée de l’Hôpital Saint-Louis. These meetings shall be held twice a year, if possible on the same day in order to favour contacts and decisions taking. The meeting of the Scientific Council shall be held before the one of the Founders College which shall be held before the one of the Board of Directors. The convenings shall be sent, at the latest, two weeks prior to the meeting. The date of the next meeting shall be decided during each meeting, by agreement, in order to favour regular attendance and efficiency. It is advisory for the addressee to acknowledge receipt of the convening.

3.1. The Board of Directors
- shall decide on the budget of the Foundation and on the expenses and resources. It shall decide in particular on the grants to be awarded the next year; on the working of the Secretary, etc...,
- shall agree to the proposals of the Founders College and of the Scientific Council,
- shall organize the communication around the different missions of the Foundation.
3.2. The Founders College
- shall elected, when necessary, its representatives in the Board of Directors. This vote shall be a majority vote, according to the votes assigned to each founder. This vote shall be carried out by successive pools until 4 representatives shall be named. A stake of seventy-five thousand euros in the endowment or in a donation shall entitle to one vote. A stake of one hundred and fifty thousand euros and over in the endowment or in a donation shall entitle to two votes,
- shall choose the matter and details of the scientific meetings,
- shall set the dates of the meetings in agreement with the Scientific Council,
- shall suggest for each of these meetings an International Scientific Comity,
- shall suggest how to finance and organize practically these meetings,
- shall give its opinion about the interest of publishing the report of these scientific meetings.
The members of the Founders College shall take advantage of their connections to increase the founders number, to increase the zone of inlluence of the Foundation, to increase the endowment of the Foundation and to increase thereby its income. The Founder college may suggest, by means of the Foundation and with the Board of Directors’ approval, any means that it possible to improve the communication with a large public about human skin-related matters.
3.3. The Scientific Council
- shall define the categories of people that may benefit from a Foundation grant: french and foreign, PhD, or non PhD doctors and scientists,
- shall suggest the amount of the awarded grants. The grants shall be awarded according to the files sent to the Foundation. These files shail include the applicant’s curriculum vitae and research program, the name and publications of the welcoming laboratory with a letter from the person in charge of the welcoming laboratory and any document about the curriculum vitae-to-be of the grant-holder when the grant shall expire, these informations being essential for the Scientific council to grade the applicants. Should the grading be impossible by consensus, the grading shall be made by vote, that shall be either secret or not.
The Scientific Council shall estimate, as far as the methodologv is concerned, the schemes of clinical research suggested to the Foundation within the scope of the clinical research networks.
for the scientific meetings to the Founders College, the latter being the one to have the final choice, provided the approval of the Board of Directors. The Scientific Council may organize, with the help of the Founders College and upon approval by the Board of Directors, any event making it possible for the Foundation to assume its role of information and training on the prevention and treatment problems for human skin.
The Scientific council’s Chairman shall be in technical coordination with the other foundations to make sure of the high efficiency of the actions of the Rene Touraine Foundation, in particular as far as the grant award and the coordination with the other bodies awarding the grants are concerned.
3.4. The Secretary shall
- call the Foundation members for the meetings,
- attend the meetings and take the minutes for each meeting,
- keep the Foundation accountancy up to date,
- be a link between the Foundation members,
- organize the unformal meetings between all the relevant Foundation members with visiting top-ranking expetis,
- advise dermatologists about the practical organization of clinical or biological research an its financing,
- inform dermatologists about the Foundation action and help organizing all the actions decided by the Board of Directors of the Foundation (congresses organization, bulletin writing, etc...)
